1. Agreement to Terms
By accessing or using Lab 916's services, website, or any associated platforms, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.
2. Services Description
Lab 916 provides Amazon channel management, advertising, creative optimization, and consulting services for established brands. Our services include but are not limited to:
Amazon account management and strategy
Amazon advertising management (PPC, DSP)
Creative content development and optimization
Brand registry and intellectual property protection
Marketplace expansion consulting
Technical support and troubleshooting
3. Client Responsibilities
Clients agree to provide accurate information, timely access to required accounts and assets, and prompt communication regarding business decisions that may affect service delivery.
4. Payment Terms
Payment terms are specified in individual service agreements. Invoices are due upon receipt unless otherwise specified. Late payments may result in service suspension or termination.
5. Confidentiality
Both parties agree to maintain the confidentiality of proprietary information shared during the course of our business relationship. This includes business strategies, performance data, and any other sensitive information.
6. Intellectual Property
Unless otherwise agreed in writing, clients retain ownership of their existing intellectual property. Work product created by Lab 916 specifically for a client becomes the client's property upon full payment, except for Lab 916's proprietary tools, methodologies, and frameworks.
7. Limitation of Liability
Lab 916 shall not be liable for indirect, incidental, special, consequential, or punitive damages resulting from the use or inability to use our services. Our liability is limited to the fees paid for services during the preceding 12 months.
8. Disclaimer of Warranties
While we strive to deliver excellent results, we cannot guarantee specific outcomes such as sales increases, ranking improvements, or account reinstatements. Amazon's policies and algorithms are outside our control.
9. Termination
Either party may terminate services with 30 days written notice unless otherwise specified in the service agreement. Immediate termination may occur in cases of material breach or non-payment.
10. Governing Law
These terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.
11. Changes to Terms
We reserve the right to modify these terms at any time. Continued use of our services after changes constitutes acceptance of the modified terms.
